Welcome to www.cbdlogistics.ch. These General Terms and Conditions of Sale (GTC) govern the rights and obligations between Orgena SA, operating the commercial brand CBD Logistics, with registered office at Stradón 116, CH-6557 Cama, Switzerland (hereinafter “Seller” or “CBD Logistics”), and the customers who make purchases on our website (hereinafter “Buyers”). These conditions apply to all orders, visits, and subscriptions made on our website, in full accordance with Swiss legislation.

1. Company Identity

CBD Logistics is a registered trademark of Orgena SA, a Swiss corporation registered in the Canton of Grisons, with registered office at Stradón 116, CH-6557 Cama, Switzerland (Commercial Register UID: CHE-190.569.496 MWST / TVA). For further corporate details, please visit the “Impressum” section on our website.

2. Acceptance of Terms

Accessing and using the website implies full acceptance of these GTC by the Buyer. Any amendments to an individual purchase agreement between CBD Logistics and a Buyer shall be valid only if agreed upon in writing by both parties. Amendments to these general GTC shall be governed by Section 13 below. If any provision of these GTC is found to be invalid or unenforceable, this shall not affect the validity of the remaining provisions.

3. Offer & Availability of Products

The products available in our online shop and catalog are presented as a non-binding commercial offer. We do not guarantee continuous availability for every item. In the event that an ordered product is temporarily unavailable, CBD Logistics will procure it or contact the Buyer promptly. If delivery cannot be fulfilled, CBD Logistics reserves the right to cancel the order and issue a prompt refund of the amount paid. Replacements will only be offered for equivalent or higher-quality products upon explicit agreement with the Buyer.

4. Shipping & Delivery

Orders placed on www.cbdlogistics.ch are dispatched via Swiss Post (Die Post / La Posta) or FedEx Express. All base prices and rates are calculated in Swiss Francs (CHF).

The following shipping methods are available:
Free Shipping: Automatically applied to orders over CHF 299 via tracked delivery within Switzerland.
Priority Mail (A+): CHF 2.90 for orders up to CHF 200; CHF 1.90 for orders between CHF 200 and CHF 299.
Priority Pack: CHF 7.50 for orders up to CHF 200; CHF 4.50 for orders between CHF 200 and CHF 299.
Safe (Signature): CHF 8.90 for orders up to CHF 200; CHF 5.90 for orders between CHF 200 and CHF 299.
Store Pick-Up: Free of charge, available within 1–2 business days at our warehouse in Cama by appointment only. Pick-up is available Monday to Friday, from 3:00 PM to 5:30 PM.

Orders placed on www.cbdlogistics.ch are fulfilled exclusively within Switzerland and strictly comply with Swiss legal THC thresholds (THC below 0.99%) for every product category. Buyers residing in the European Union are invited to visit www.cbdlogistics.eu, where products comply with EU THC limits (THC below 0.29%) and express shipping generally takes 3–4 business days.

It is the Buyer’s responsibility to provide an accurate delivery address. Any return or re-routing costs resulting from incorrect address information shall be borne by the Buyer. Orders are generally fulfilled and dispatched within 1–2 business days; transit time may take up to 5 business days depending on carrier operations. CBD Logistics cannot be held liable for carrier delays except in cases of gross negligence.

4.1 Delivery Confirmation & Transfer of Risk

In accordance with Article 185 et seq. of the Swiss Code of Obligations (CO), the risk of accidental loss or damage passes to the Buyer upon handover of the shipment by the carrier, or upon confirmation of delivery by the carrier’s electronic tracking system. In accordance with standard Swiss postal practices and carrier terms, delivery may take place without a personal signature (e.g., deposited in a secure parcel box, building reception, parcel locker, or with an authorized recipient under power of attorney).

The carrier’s electronic delivery confirmation constitutes verifiable proof of delivery. Once delivery has been confirmed by the carrier, CBD Logistics cannot be held responsible for subsequent loss or theft. All shipping methods listed in Section 4 are subject to these statutory rules regarding transfer of risk.

5. Prices & Payment Methods

All prices displayed on www.cbdlogistics.ch are indicated in Swiss Francs (CHF) and include statutory Swiss Value Added Tax (MWST / TVA). Shipping costs are applied as specified in Section 4. Orders will be processed and dispatched only after full payment has been received and confirmed.

The following payment methods are available:

Bank Transfer (BACS)  
Buyers may pay via direct wire transfer. Detailed banking coordinates (PostFinance corporate account) and order reference numbers are provided upon checkout and within the confirmation email. Orders are dispatched upon official receipt and clearance of funds. By choosing this payment method, the Buyer confirms acceptance of our GTC.

Payment on Invoice (Powerpay)  
We offer the option “Pay by Invoice” operated by our financial partner Powerpay (MF Group AG, St. Gallen, Switzerland). Upon checkout, Powerpay conducts an automated creditworthiness check. If approved, the invoice is issued directly by Powerpay. By choosing this payment method, the Buyer accepts Powerpay’s General Terms & Conditions in addition to our own GTC.

Twint  
We offer Twint for instant mobile payments in Switzerland. The total amount is charged directly to the Buyer’s linked Twint account upon confirmation. By selecting this payment method, the Buyer accepts Twint’s Terms & Conditions in addition to our GTC.

PostFinance Pay / PostFinance Card  
Payments via PostFinance Pay or PostFinance Card are processed securely through Saferpay (Worldline). The Buyer is authenticated through the official PostFinance security interface. By selecting this method, the Buyer accepts PostFinance’s Terms & Conditions in addition to our GTC.

Credit Cards (Visa / Mastercard)  
We accept Visa and Mastercard payments securely processed through the certified Saferpay (Worldline) payment gateway. All card data is transmitted using encrypted TLS protocols in full compliance with PCI-DSS standards, the Buyer accepts Saferpay Terms & Conditions in addition to our GTC. 

Cryptocurrency  
We accept cryptocurrency payments processed through the certified payment gateway NOWPayments. Digital asset transactions are finalized once validated on the respective blockchain network. By selecting cryptocurrency, the Buyer confirms acceptance of NOWPayments’ Terms of Service in addition to our GTC. Chargebacks and blockchain reversals are not technically possible. The Buyer accepts NOWPayments Terms of Service in addition to our GTC. 

6. Return & Refund Policy

The Buyer has the right to return purchased retail products within seven (7) days from the date of physical receipt. 

To be eligible for a return and refund, products must be returned in their original, unopened condition, with all protective seals, tamper-evident packaging, and batch labels completely intact. Due to hygiene, health protection, and product safety regulations governing botanical hemp derivatives and consumable extracts, the right of return is strictly excluded once the sealed packaging has been opened, unsealed, or altered.

For wholesale B2B purchases, bulk agricultural biomass, clones, and certified seeds, returns are strictly excluded once dispatched, except in cases of verified material defects reported in accordance with Section 8.

Return shipping costs shall be borne entirely by the Buyer. Upon receipt and physical inspection of the intact goods, CBD Logistics will process the refund using the original payment method within fourteen (14) business days.

7. Retention of Title

All delivered goods remain the property of Orgena SA / CBD Logistics until full payment of the purchase price and associated fees has been received. In the event of default of payment, CBD Logistics reserves the right to demand the immediate return of the delivered merchandise at the Buyer’s expense.

8. Inspection & Notice of Defects (Warranty)

Pursuant to Swiss commercial law (Art. 201 CO), the Buyer is required to examine the delivered goods immediately upon receipt and report any defect, breakage, or quantity discrepancy in writing within seven (7) business days, accompanied by photographic evidence and batch identification.

If a defect is timely reported and verified by CBD Logistics, the Buyer is entitled to an immediate replacement, credit note, or refund. The warranty is strictly void if the product has been unsealed, improperly stored, subjected to temperature degradation, or altered by the Buyer. CBD Logistics guarantees that all Swiss products comply with legal agricultural thresholds (THC below 0.99%).

9. Age Verification (Strictly 18+)

CBD Logistics sells legal hemp products exclusively to individuals who are at least 18 years of age and to legally constituted commercial entities. 

The Buyer confirms being at least 18 years of age by selecting the mandatory verification checkbox during the checkout process and accepting these GTC. CBD Logistics reserves the right to perform sample identity verifications or request official business registration documentation prior to dispatching orders. Providing false age or corporate information constitutes a breach of contract and an offense under Swiss law, entitling CBD Logistics to cancel the order and recover any administrative and legal expenses.

10. Regulatory Compliance & Duty to Inform

CBD Logistics continuously informs Buyers regarding Swiss hemp regulations. Products sold on www.cbdlogistics.ch are derived from certified agricultural hemp with a THC concentration strictly below 0.99%, conforming to Swiss Federal Law. The Buyer is responsible for ensuring that the storage, resale, or professional handling of the purchased items complies with all applicable local laws in their respective jurisdiction.

11. Identity Fraud & False Declarations

Providing fraudulent corporate data, forged VAT numbers, or false age declarations is strictly prohibited and subject to civil liability and criminal prosecution under Swiss law. CBD Logistics reserves the right to report identity fraud and recover all administrative and legal expenses.

12. Limitation of Liability

CBD Logistics is liable for contractual damages only in cases of unlawful intent or gross negligence, pursuant to Article 100 of the Swiss Code of Obligations. Liability for slight negligence, indirect damages, lost profits, or business interruption is explicitly excluded. CBD Logistics accepts no liability for damages resulting from improper storage, misuse, or illegal handling of products by the Buyer or third parties.

13. Amendments to the GTC

CBD Logistics reserves the right to amend these General Terms and Conditions at any time. The version of the GTC published on www.cbdlogistics.ch at the time of order placement shall apply. Revisions do not affect orders confirmed prior to the effective date. Substantial changes will be notified on the website or directly to registered B2B wholesale account holders.

14. Data Protection & Privacy

The processing of personal and business data on our website is conducted strictly in accordance with the Swiss Federal Act on Data Protection (nFADP / nLPD, SR 235.1) and, where applicable, the EU General Data Protection Regulation (GDPR, Regulation (EU) 2016/679). For comprehensive information regarding our data processing, service providers, retention periods, and user rights, please consult our dedicated “Privacy Policy“.

15. Applicable Law and Place of Jurisdiction

These General Terms and Conditions and all sales contracts concluded between CBD Logistics and the Buyer shall be governed exclusively by the substantive laws of Switzerland, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG / Vienna Sales Convention).

The exclusive place of jurisdiction for any dispute arising out of or in connection with these GTC, commercial orders, or the use of www.cbdlogistics.ch shall be the competent courts of the Moesa District (Canton of Grisons), Switzerland, subject to any mandatory statutory jurisdictions provided by federal law.
